Terms and Conditions AFFILIATE AGREEMENT
GENERAL
By joining the BulkHerbs.biz affiliate program you agree to abide by the terms and conditions that exist, and may be varied from time to time, in the absolute discretion of BulkHerbs.biz. BulkHerbs.biz reserves the right to change and or modify these terms at any time without prior notice to you. Your continued registration in the affiliate program shall constitute acceptance of the terms and conditions. You are referred to as the affiliate throughout this document. BulkHerbs.biz shall mean and refer to Cesara Concepts Ltd. and or its duly authorised officers and representatives and the website that has its address at: www.bulkherbs.biz. You agree to be bound by and comply with the Terms of Use Agreement of BulkHerbs.biz which is deemed to be incorporated in this agreement.
1. REGISTRATION AS AN AFFILIATE
When you register as an affiliate you agree to provide all necessary details to enable you to be allocated an affiliate number and login to the BulkHerbs.biz website. The allocated username and login must not be disclose to any person, and, you agree to not to disclose that information to any other person firm or corporation, and keep such information confidential.
2. ACCEPTANCE OF LINK AND OR CODE
When you have registered as an affiliate of bulkherbs.biz a unique identification code will be created specifically for you. That code will be added to the affiliate administration area of the bulkherbs.biz site. You will be provided with a specific link that is to be added to your site.
When a customer purchases a product or service from bulkherbs.biz via the specific link provided to you the value of the sale and the origin of the customer are recorded under your unique code. This allows bulkherbs.biz to track the customers that purchase product from your link, and, allows the amount of commission to be recorded as payable to you. Commissions will be paid to you in accordance with the terms specified under the heading Commissions in this document.
3. NO AGENCY RELATIONSHIP
As an affiliate you shall not have the authority to make any representation or enter into any agreement for or on behalf of bulkherbs.biz. You are not an agent or representative of bulkherbs.biz and bulkherbs.biz shall not be bound by any act matter or thing carried out by you in any way, nor be responsible for your actions whether legal or illegal in any country.
4. RIGHT TO TERMINATE AFFILIATE
bulkherbs.biz reserves the right, in its absolute discretion, to terminate the affiliate relationship that exists due to the use of spam email, illegal or illicit promotion of material to incite or promote racism, hate and violence or illegal activities, use of a bulkherbs.biz link on an inappropriate site, or, as a result of the closure of the site, or due to any administrative matter or reason whatsoever. In addition, bulkherbs.biz shall not be required to provide any reason to the affiliate should the relationship be terminated, and, no correspondence shall be entered into in any way.
5. COMMISSIONS
Bulkherbs.biz shall pay to the affiliate commission at the rate of fifteen percent of the gross value of sales of of herbal products purchased by a third party through and using the affiliates link, and identified using the affiliates unique code. Please note due to our services area being offered to third party suppliers, All commissions shall accrue and be paid, on or before the 10th of the following month for the previous months sales after the total value of the commission earned shall be, or exceed, $50.00 CA. Commissions shall be paid by cheque in Canadian Dollars - CA, and, posted to the address submitted when joining the bulkherbs.biz affiliate program, or sent to the paypal account listed in your affiliate sign up form. Bulkherbs.biz shall use every endeavour to ensure payment is made on or before the time referred to in this clause. In the event that any administrative procedure is dealyed the affilliate shall have no cause of action against bulkherbs.biz for the delay in processing of any payment to the affiliate.
The affiliate shall be responsible for prompt presentation of the cheque, including payment or acceptance of any conversion fee, presentation or collection fee imposed by the affiliates financial institution or clearance house or facility. In the event that the cheque is not presented for payment within six (6) months the cheque will be cancelled and the commission forfeited, and, the affiliate shall have no right of recompense or cause of action against bulkherbs.biz.
6. REPRESENTATION
If you, as an affiliate, make any representation, warranty or statement, expressly or impliedly, or offer any inducement or promotion not authorised by bulkherbs.biz, that is, can or may be regarded as misleading or deceptive in any way you shall be solely responsible for any loss arising, any costs incurred including legal fees, additional bank fees or loss in any way referrable to the representation you shall indemnify bulkherbs.biz for the full amount of any such loss or costs. You shall pay the amount for loss or costs in an acceptable manner, including provision of appropriate security, and time to bulkherbs.biz.
Bulkherbs.biz does not condone or consent to the use of its products or services to produce websites that promote racism, hate and violence or illegal activities.
